TERMS OF SERVICE

Introduction

Welcome to Queri, a digital platform provided by Queri Co., Ltd. (“Queri”, “Company,” “We,” “Us,” “Our”). These Terms of Service govern your use of the Queri platform ("App"), including the Queri website, mobile and web application.

For purposes of these Terms, the “Services” include on-demand Video and Text features, as well as real-time livestreaming functionality (“Live Streaming”), livestream replays and archived streams, gifting features, and all related interactive features.

These Terms of Service apply to all users of, including visitors to, our App. Use of our App is also subject to our current Acceptable Use Policy. Your use of our App as a User (“User(s)”, “You”, “Your”) or Content Creator (“Content Creator(s)”, “Creator(s)”, “You”, “Your”) is governed by these Terms of Service and the Creator Terms of Service.

By using the App as a User or Creator, you accept these Terms of Service in full.

Incorporation of Other Documents

These Terms of Service are supplemented by and incorporate the following documents, which together outline the rules, responsibilities, and expectations of using the App:

• Acceptable Use Policy: This document outlines the expected behavior of users and creators on the App and ensures a respectful and safe environment. By using the App, you agree to comply with the rules outlined in the Acceptable Use Policy.

• Creator Terms of Service: If you are a Creator on the App, the Creator Terms of Service apply to you. These terms detail the rights, obligations, and compensation structure for Creators using the App.

• Privacy Policy: This document explains how we collect, use, and protect your personal information. Your use of the App is subject to the terms and conditions outlined in the Privacy Policy.

In the event of any conflict or inconsistency between these terms and any other agreements, policies, or terms applicable to the App or Company, Queri Co., Ltd reserves the right, in its sole and absolute discretion, to interpret the conflicting provisions and to determine the controlling document or interpretation, which decision shall be final and binding.

Registration

To use certain features of the App, you may need to register and provide accurate information. Misrepresentation of information may lead to account suspension or termination.

For Live Streaming features, we may require additional identity verification, age verification, or eligibility confirmation.

Live Streaming Features

We may provide Live Streaming functionality on the App. Live Streaming may include video, audio, real-time chat, comments, digital gifts, rankings, replay functionality, archived streams, and related features.

Live Streams may be recorded and made available as replays or archived content on the App. We reserve the right, at our sole discretion, to remove, restrict, edit, or make private any archived livestream content at any time.

Creators may contact us to request removal of archived livestream content at their discretion. We will respond to such requests within a reasonable timeframe, subject to legal and compliance requirements.

We reserve the right to modify, suspend, or discontinue Live Streaming features at any time.

Jurisdiction and Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Japan. Any disputes arising out of these Terms of Service shall be subject to the exclusive jurisdiction of the courts of Japan.

Force Majeure

Under no circumstances will Queri be liable for any delay or failure in performance due in whole or in part to any acts of God, natural disasters, unavoidable accidents, laws, rules, regulations, or orders of government authorities, or any other event or cause beyond the reasonable control of Queri.

User Obligations and Conduct

You agree not to engage in any inappropriate or harmful behavior, requests, comments, or send inappropriate, harmful, or sexual material. Infringement may lead to flagging, banning, suspension of livestreams, or legal action, depending on severity.

In connection with Live Streaming, you further agree not to:

• Broadcast illegal activities or promote unlawful conduct

• Use copyrighted music, video, or third-party content without authorization

• Engage in harassment, hate speech, or discrimination

• Share private or personal information of others

• Manipulate views, rankings, or engagement through bots or artificial means

• Attempt to redirect users to external payment systems

Live Stream Content Responsibility

All Live Stream content is the sole responsibility of the Creator broadcasting it.

Queri does not guarantee the legality, accuracy, safety, or reliability of Live Stream content.

We are not responsible for disputes, damages, or claims arising from Live Stream interactions between Users and Creators.

Intellectual Property

Creators retain the intellectual property rights of the original content they create on the Queri App, respecting the creativity and ownership of the creators.

However, by uploading, posting, or otherwise sharing your content on the Queri platform, you grant Queri a non-exclusive, worldwide, royalty-free license to use, modify, reproduce, distribute, and display your content within the Queri App and its promotional channels, including but not limited to, the App’s design elements, logos, and other non-User-specific contents for operational and promotional purposes.

Downloading and utilizing such content for any purpose other than personal viewing is strictly prohibited unless expressly allowed by the intellectual property rights owner. This license persists even if you stop using our services.

Queri retains ownership rights over App-generated content, including design elements, logos, and other non-User-specific content created or used by Queri, regardless of the presence of a Creator’s intellectual property incorporated therein.

Termination

Queri Co., Ltd reserves the right to terminate or suspend your access to the App at any time without notice if you violate these Terms of Service.

With respect to Live Streaming, we may immediately suspend or terminate a livestream, remove archived content, or restrict monetization for safety, compliance, or policy violations.

Warranties & Indemnification

As a User on the Queri platform, you represent and warrant that:

• All content you upload, post, or share on the platform is original to you or you have secured the necessary rights and permissions to use and share such content.

• Your content and interactions on the platform do not violate any intellectual property rights, privacy rights, or any other rights of any third party.

• Your content and activities on the platform comply with all applicable laws and regulations.

You agree to indemnify, defend, and hold harmless Queri Co., Ltd and its subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to your breach of these Terms of Service or your use of the the App other than as expressly authorized in these Terms of Service.

You agree to indemnify and hold harmless Queri from claims arising from Live Stream content you broadcast or from violations of third-party intellectual property rights during livestreams.

Dispute Resolution

Disputes will be handled by Queri or an appointed third party. Methods may include arbitration, mediation, and litigation.

In the event of any dispute arising from, or related to, these Terms of Service or your use of the App as a User, both parties agree to engage in good faith discussions to seek a resolution. If such discussions are unsuccessful, both parties agree to participate in a mutually agreed-upon mediation process in an attempt to resolve the dispute.

If mediation does not resolve the conflict, it will be referred to and finally resolved by arbitration. The arbitration process will be governed by the Arbitration Act applicable in Japan.

Any judgments, decisions, or awards resulting from any arbitration can be presented to and confirmed by any court having competent jurisdiction. Both parties agree that any arbitration proceedings will be kept confidential and the existence of the proceeding and any element of it will not be disclosed beyond the arbitration tribunal, except as may be necessary to enforce an award.

Refunds and Cancellations

All transactions are final, and in-app points will be awarded instead of cash refunds in certain scenarios. Please note that 1 Point is equal to 1 Japanese Yen. The moment a request (for a Video or Text) is confirmed (even before the Creator accepts), the transaction will go through (Apple Pay/Google Pay/Stripe). If the request (for a Video) is rejected or cancelled, the User will receive the equivalent in in-app points. There will not be a cash refund. The User can cancel the request up until it is accepted by the Creator. The Creator, Queri, or a third party (such as a manager or secretary) appointed by the Creator, can reject a request at his/her/their discretion. A Video/Text is not guaranteed a response by the Creator. The User can receive a refund for all Videos that are rejected or cancelled or void (the Creator does not fulfill the request in the allocated time). However, the User is not able to receive a refund for a Message request, even if it is rejected or void. Messages cannot be cancelled after the request is confirmed.

Digital gifts, tips, or other payments made during Live Streams are final and non-refundable. No cash refunds will be issued for livestream gifting transactions, including in cases where a livestream is interrupted or ended early, except where required by applicable law.

We reserve the right to withhold, suspend, or reverse transactions in cases of fraud, chargebacks, policy violations, or legal requirements.

Liability and Warranties

The Company disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose.

We shall not be liable for any indirect, consequential, incidental, or special damages arising out of or related to Live Streaming content, gifting transactions, or interactions between Users and Creators.

Compliance with Law

You must comply with all applicable laws regarding your use of the App. You must not use the App in any way that causes, or may cause, damage to the App or impairment of the availability or accessibility of the App.

Third-Party Interactions

The App may interact with third parties, including payment processors and livestream infrastructure providers. We are not responsible for the content, privacy policies, or practices of third-party services.

Updates and Changes to Terms

By logging in or using the App, you accept these Terms of Service or updates to them. Notification will be provided via in-app notification and email. These revised Terms of Service will be effective immediately if you accept them; otherwise, they will be effective 30 days after posting.

Mechanism for Updates to Services

Queri Co., Ltd constantly aims to innovate and improve its services. As such, we may update, modify, or discontinue services/features at our sole discretion. When substantial changes are made that might affect the User’s use of the platform or their engagement with Creators, we will notify the User through their registered email or through notifications within the App.

It's important to understand that these changes might necessitate amendments to these Terms of Service. As always, continued use of the App after these changes means you agree to any revised terms.

No Waiver or Amendment

The failure by Queri to enforce any right or provision of these Terms of Service will not prevent Queri from enforcing such right or provision in the future and will not be deemed to modify these Terms.

Assignment

Queri may, at any time, assign its rights and obligations under these Terms, including to an affiliated entity or in connection with a sale of assets, merger, acquisition, reorganization, bankruptcy, other transaction, or by operation of law.

Severability

If any provision of these Terms of Service is, or is found to be, unenforceable under applicable law, that will not affect the enforceability of the other provisions of these Terms of Service.

Miscellaneous

The term “including” in these Terms of Service will be interpreted broadly and will mean “including, without limitation.” Titles are for convenience only and will not be considered when interpreting these Terms.
