CREATOR TERMS OF SERVICE

Welcome to Queri, a digital platform provided by Queri Co., Ltd. (“Queri”, “Company,” “We,” “Us,” “Our”). These Creator Terms of Service outline the terms and conditions that apply to creators, artists, and content creators ("Creators") who use the Queri platform ("App"), including the Queri website, mobile application, livestreaming features, replay functionality, gifting systems, and related engagement tools to engage with their fans.

These Creator Terms of Service apply to all users of, including visitors to, our App. Your use of our App as a User (“User(s)”, “You”, “Your”) or Content Creator (“Content Creator(s)”, “Creator(s)”, “You”, “Your”) is governed by this Creator Terms of Service. By using the App as a User or Creator, you accept these Creator Terms of Service in full.


Incorporation of Other Policies

These Creator Terms of Service work in conjunction with and are supported by the following policies, which provide comprehensive information about your rights, responsibilities, and obligations as a User or Creator on the App:

  • Terms of Service: The general terms and conditions of using the App apply to all users, including Creators. Your use of the App as a Creator is subject to the provisions of the Terms of Service.

  • Privacy Policy: The Privacy Policy explains how we collect, use, and protect your personal information. Your status as a Creator and your interactions with fans on the App are subject to the terms and conditions outlined in the Privacy Policy.

  • Acceptable Use Policy: The Acceptable Use Policy sets the guidelines for appropriate behavior on the App. Your interactions, content creation, and engagement with fans must align with the rules specified in the Acceptable Use Policy.

In the event of any conflict or inconsistency between these terms and any other agreements, policies, or terms applicable to the App or Company, Queri Co., Ltd reserves the right, in its sole and absolute discretion, to interpret the conflicting provisions and to determine the controlling document or interpretation, which decision shall be final and binding.


Account Registration and Verification

To become a Creator on the App, you must register for an account and provide accurate and complete information about yourself, including legal identification and proof of eligibility to participate.

Queri reserves the right to verify the information you provide and request additional documentation to ensure authenticity and compliance with our guidelines.

For access to Live Streaming features, Queri may require additional identity verification, age verification, or eligibility confirmation.


Content Creation and Interaction

As a Creator on the App, you have the opportunity to create personalized content, engage with fans, and provide unique experiences, including through Live Streaming.

You agree to create content that aligns with Queri's guidelines, respects cultural sensitivities, and adheres to all applicable laws and regulations.

You are solely responsible for all content broadcast during Live Streams, including audio, video, chat engagement, and gifting interactions.

Live Streaming Features

Queri may provide Live Streaming functionality, including real-time broadcasts, chat, rankings, gifting systems, replay functionality, and archived streams.

Live Streams may be recorded and made available as replay or archived content within the App.

Queri reserves the right, at its sole discretion, to remove, edit, restrict, demonetize, or make private any livestream or archived livestream content at any time.

Creators may contact Queri to request removal of archived livestream content at their discretion. Queri will respond within a reasonable timeframe, subject to legal, safety, and compliance obligations.

Queri reserves the right to suspend or terminate Live Streaming access for policy violations, safety concerns, fraud prevention, or legal compliance.


Content Ownership and Rights

Creators retain the intellectual property rights of the original content they create on the Queri App, respecting the creativity and ownership of the creators.

However, by uploading, posting, livestreaming, or otherwise sharing your content on the Queri platform, you grant Queri a non-exclusive, worldwide, royalty-free license to use, record, store, modify, reproduce, distribute, display, and make available your content within the App and its promotional channels, including but not limited to livestream replays, archived streams, the App’s design elements, logos, and other non-User-specific contents, for operational and promotional purposes.

Downloading and utilizing such content for any purpose other than personal viewing is strictly prohibited unless expressly allowed by the intellectual property rights owner. This license persists even if you stop using our services.

Queri retains ownership rights over App-generated content, including design elements, logos, and other non-User-specific content created or used by Queri, regardless of the presence of a Creator’s intellectual property incorporated therein.


Creator Revenue, Fees, and Payment

Creators on the App will retain 70% of the earnings generated from their engagements with fans, including earnings generated from Video, Text, and Live Streaming gifts, tips, and digital gifting systems, with the remaining 30% serving as a transaction fee for Queri. The applicable revenue share percentage may vary depending on promotional programs, creator category, contractual arrangements, agency agreements, or other factors at the Company’s discretion.

To define the fees involved:

Creator-set Price:
Creators set the price for standard and express videos, messages, and any applicable livestream monetization features. This set price is visible to users in the App as the price of a video/message or livestream-related item.

Service Fee:
A 10% VAT and other applicable fees are added to the subtotal of a Video, Message, or other monetized transaction. This amount is visible to users at the order review stage as part of the total amount payable. The total amount may change if promotions are applied.

Transaction Fee:
Queri retains 30% of the transaction amount as its share for providing the App and its services. This percentage may vary at the discretion of the Company as described above.

Platform Fee:
A fee charged by payment platforms (Apple Pay or Google Pay) to Queri, calculated at 30% of total App sales. Apple and Google offer a reduced fee of 15% on the first $1 million USD of earnings each year due to specific programs. However, we anticipate reaching this threshold swiftly, leading us to maintain a platform fee of 30%. After Apple or Google deduct this fee, the remaining amount is deposited into the Company's bank account. Creators’ payments are calculated after this platform fee deduction.

This breakdown is calculated from the total amount of the transaction before any other deductions are applied. We believe in maintaining a transparent and respectful relationship with our creators; therefore, any potential modifications to this fee structure will be communicated clearly. However, the fee structure, revenue share percentages, payout thresholds, and monetization terms may be modified at the discretion of the Company.

Example

If a standard video is priced at ¥10,000:

The service fee (10%) will add ¥1,000 to the subtotal, making it ¥11,000.

Assuming a promo isn't applied, this ¥11,000 is what the user pays. Apple/Google will take their platform fee of 30%, leaving ¥7,700.

Queri's transaction fee of 30% is then applied to the ¥7,700, resulting in ¥2,310 being retained by Queri, and the remaining ¥5,390 being the Creator's earnings.

Livestream Gifting Revenue

Digital gifts, tips, or other virtual items sent during Live Streams are included in the Creator’s eligible earnings and are subject to the same revenue share and fee structure outlined above.

All livestream gifting transactions are final and non-refundable, except where required by applicable law.

Revenue generated from livestream gifting may be subject to review in cases of fraud, chargebacks, coordinated manipulation, policy violations, artificial traffic, or legal requirements.

Queri reserves the right to withhold, suspend, reverse, deduct, or adjust earnings related to suspected fraudulent, abusive, or policy-violating activity.

Queri does not guarantee minimum livestream revenue, viewership, ranking placement, engagement levels, or monetization outcomes.

Tax Treatment

It is imperative for Creators to note that total payments differ depending on whether they are registered as an individual or a corporation. Corporations retain 70% of the earnings inclusive of the 10% VAT, unless otherwise agreed.

Individual creators are subject to Japanese tax regulations as per document No. 2792, incorporating a withholding tax at source system (源泉徴収, gensen choshu). The Company will withhold tax at source where applicable under Japanese law.

  1. For payments up to ¥1,000,000:
    Withholding tax amount = Payment amount × 10.21%

Example: A payment of ¥100,000 will incur a withholding tax of ¥10,210, resulting in a net payment of ¥89,790 to the Creator.

  1. For payments exceeding ¥1,000,000:
    Withholding tax amount = (Payment amount – ¥1,000,000) × 20.42% + ¥102,100

Example: A payment of ¥2,000,000 will incur a withholding tax of ¥306,300, resulting in a net payment of ¥1,693,700 to the Creator.

These detailed guidelines ensure creators are informed about the calculations behind their earnings and applicable deductions.

Payouts

Payments to Creators will be executed through automatic deposits based on the earnings accumulated from completed Video, Text, and Live Streaming transactions.

To be eligible for a payout, Creators must accumulate a minimum threshold of ¥5,000 in eligible earnings. This minimum threshold may vary depending on the Creator’s category, contractual agreement, promotional program, or other factors at the Company’s discretion.

Once the applicable threshold is reached, Queri will initiate the payment process. The Company commits to transferring the accrued earnings to the bank account designated by the Creator within two months following the end of the month in which the threshold was met.

Creators cannot request a payout at their discretion unless otherwise agreed. Payout timing, thresholds, and structure may vary depending on the Creator’s contractual arrangement with the Company.

Queri is not liable for payment errors arising due to incorrect bank account information furnished by the Creator or issues that occur during the external bank transfer process. It remains the Creator’s responsibility to ensure the accuracy of the bank account details provided.


Transactions and Cancellations

Transaction processing begins the instant a request for a video or text is confirmed by a User, occurring even before the Creator has accepted the request. These transactions are securely handled through trusted payment platforms including Apple Pay, Google Pay, and Stripe.

In the event that a video request is cancelled or rejected, it is important for users to understand that refunds will be provided exclusively in the form of in-app points rather than a cash reimbursement. Please note that 1 Point is equal to 1 Japanese Yen. Users retain the ability to cancel their request up until the point that it is accepted by the Creator. Furthermore, it should be noted that while creators are encouraged to respond to all video and text requests, a response is not a guaranteed outcome for the User.

The Company, the App, the Creator, or a third party appointed by the Creator - potentially a manager or secretary - reserves the right to reject any request at their discretion. However, they are urged to maintain a respectful and considerate approach when doing so.

Users should also be aware that, unlike video requests, messages can not be canceled once the request has been confirmed and refunds are not available for message requests under any circumstances. It’s our mutual responsibility to foster a community grounded in respect and understanding, thus we encourage both users and creators to communicate thoughtfully and responsibly.

Digital gifts, tips, or other payments made during Live Streams are final and non-refundable, including in cases where a livestream is interrupted, suspended, or terminated, except where required by applicable law.


Compliance and Professionalism

You agree to abide by Queri's Community Guidelines, including creating content that is respectful, appropriate, and aligned with Queri's mission.

You will not engage in any behavior that violates intellectual property rights, spreads false information, or harms the reputation of Queri, the App or other Users and Creators.

In connection with Live Streaming, you further agree that you will not:

  • Use copyrighted music or third-party content without authorization

  • Redirect users to external payment systems

  • Manipulate gifting systems or rankings

  • Engage in fraudulent monetization practices


Warranties & Indemnification

As a Creator on the Queri platform, you represent and warrant that:

  • All content you upload, post, or share on the platform is original to you or you have secured the necessary rights and permissions to use and share such content.

  • Your content and interactions on the platform do not violate any intellectual property rights, privacy rights, or any other rights of any third party.

  • Your content and activities on the platform comply with all applicable laws and regulations.

You agree to indemnify, defend, and hold harmless Queri Co., Ltd and its subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to your breach of these Creator Terms of Service or your use of the the App other than as expressly authorized in these Creator Terms of Service.

You agree to indemnify and hold harmless Queri from any claims arising from:

  • Content broadcast during Live Streams

  • Copyright or intellectual property violations during livestreams

  • Disputes arising from gifting or monetization


Dispute Resolution

In the event of any dispute arising from, or related to, these Creator Terms of Service or your use of the App as a Creator, both parties agree to engage in good faith discussions to seek a resolution. If such discussions are unsuccessful, both parties agree to participate in a mutually agreed-upon mediation process in an attempt to resolve the dispute.

If mediation does not resolve the conflict, it will be referred to and finally resolved by arbitration. The arbitration process will be governed by the Arbitration Act applicable in Japan.

Any judgments, decisions, or awards resulting from any arbitration can be presented to and confirmed by any court having competent jurisdiction. Both parties agree that any arbitration proceedings will be kept confidential and the existence of the proceeding and any element of it will not be disclosed beyond the arbitration tribunal, except as may be necessary to enforce an award.


Termination and Account Suspension

Queri reserves the right to suspend or terminate your Creator account if you violate the Creator Terms of Service, Terms of Service, Privacy Policy, Acceptable Use Policy, Community Guidelines, or any applicable laws.

With respect to Live Streaming, Queri may:

  • Immediately suspend or terminate a livestream

  • Remove archived livestream content

  • Restrict monetization or gifting privileges

  • Withhold pending earnings during investigation

In the event of termination, you may lose access to your account, content, and earnings, subject to applicable law.


Privacy and Data Protection

Queri collects and processes personal information in accordance with its Privacy Policy. By using the App as a Creator, you consent to the collection, use, and processing of your personal information.


Changes to Terms

Queri may update these Creator Terms of Service from time to time. Changes will be communicated to you through your account or email. Your continued use of the App constitutes acceptance of the updated terms.


Mechanism for Updates to Services

Queri Co., Ltd constantly aims to innovate and improve its services. As such, we may update, modify, or discontinue services/features at our sole discretion. When substantial changes are made that might affect the Creator's use of the platform or their engagement with fans, we will notify the Creator through their registered email or through notifications within the App.

It's important to understand that these changes might necessitate amendments to these Creator Terms of Service. As always, continued use of the App after these changes means you agree to any revised terms.

If such discussions are unsuccessful, both parties agree to participate in a mutually agreed-upon mediation process in an attempt to resolve the dispute.

If mediation does not resolve the conflict, it will be referred to and finally resolved by arbitration. The arbitration process will be governed by the Arbitration Act applicable in Japan.

Any judgments, decisions, or awards resulting from any arbitration can be presented to and confirmed by any court having competent jurisdiction. Both parties agree that any arbitration proceedings will be kept confidential and the existence of the proceeding and any element of it will not be disclosed beyond the arbitration tribunal, except as may be necessary to enforce an award.


Termination and Account Suspension

Queri reserves the right to suspend or terminate your Creator account if you violate the Creator Terms of Service, Terms of Service, Privacy Policy, Acceptable Use Policy, Community Guidelines, or any applicable laws.

With respect to Live Streaming, Queri may:

  • Immediately suspend or terminate a livestream

  • Remove archived livestream content

  • Restrict monetization or gifting privileges

  • Withhold pending earnings during investigation

In the event of termination, you may lose access to your account, content, and earnings, subject to applicable law.


Privacy and Data Protection

Queri collects and processes personal information in accordance with its Privacy Policy. By using the App as a Creator, you consent to the collection, use, and processing of your personal information.


Changes to Terms

Queri may update these Creator Terms of Service from time to time. Changes will be communicated to you through your account or email. Your continued use of the App constitutes acceptance of the updated terms.


Mechanism for Updates to Services

Queri Co., Ltd constantly aims to innovate and improve its services. As such, we may update, modify, or discontinue services/features at our sole discretion. When substantial changes are made that might affect the Creator's use of the platform or their engagement with fans, we will notify the Creator through their registered email or through notifications within the App.

It's important to understand that these changes might necessitate amendments to these Creator Terms of Service. As always, continued use of the App after these changes means you agree to any revised terms.
