登録

保証と免責

Queriプラットフォームのユーザーとして、あなたは以下を表明し、保証します：

1. プラットフォーム上にアップロード、投稿、または共有するすべてのコンテンツは、あなた自身によるオリジナルであり、それらのコンテンツを使用し共有するために必要な権利と許可を取得しているか、または保有しています。

あなたは、これらの利用規約に違反するか、これらの利用規約で明示的に許可されていない方法でアプリを使用した場合、Queri株式会社およびその子会社、関連会社、役員、取締役、従業員、および代理人を、これらの利用規約の違反またはこれらの利用規約で明示的に許可されていない方法でアプリを使用したことに起因する、いかなるクレーム、責任、損害、判決、賠償金、損失、費用、支出、または料金（合理的な弁護士費用を含む）から免責し、防御し、保持することに同意します。

紛争解決

紛争はQueriまたは指定された第三者によって処理されます。方法には仲裁、調停、訴訟が含まれる場合があります。

これらの利用規約またはユーザーとしてのアプリの使用に関連する紛争が発生した場合、両当事者は解決を求めて誠実に協議することに同意します。このような協議が成功しない場合、両当事者は紛争解決を試みるために双方が合意した調停プロセスに参加することに同意します。

調停が紛争を解決しない場合、それは仲裁に委託されます。仲裁プロセスは、日本で適用される仲裁法に従って行われます。

• クリエーターが提供するQueriコンテンツを、これらのサービス利用規約または該当する追加の規定で特定の限定目的以外の目的で使用しないこと。

• ビジネスQueriコンテンツに関連する場合、違法または不法な活動、暴力、憎悪表現または差別的な発言、または任意の個人、団体、ブランド、または事業を侮辱または中傷し、またはこれを促進するものに関連するものを要求または提供しないこと。

コンテンツ所有権と権利

クリエーターの収益、手数料、および支払い

アプリのクリエーターは、ファンとの対話から生じる収益の75%を保持し、残りの25%はQueriの取引手数料として提供されます。手数料についての詳細:

• クリエーター設定価格： クリエーターは、通常のビデオ、エクスプレスビデオ、およびメッセージの価格を設定します。この設定価格はアプリ内でユーザーに表示され、ビデオ/メッセージの価格として表示されます。

• サービス手数料： ビデオ/メッセージ取引の小計に10%の消費税およびその他の手数料が追加され、ユーザーによる注文確認段階で合計金額の一部として表示されます。プロモーションが適用された場合、この合計金額は変更される可能性があります。

2. プロモーションが適用されていないと仮定すると、ユーザーが支払うのはこの11,000円です。Apple/Googleはアプリ売上の30％をプラットフォーム手数料として差し引きますので、残りは7,700円です。

3. Queriの取引手数料（25％）が7,700円に適用され、1,925円がQueriに保持され、残りの5,775円がクリエーターの収益となります。

クリエーターは、個人または法人として登録されているかに応じて、収益の総額が異なることに注意してください。法人は、10％の消費税を含む収益の75％を保持します。

ただし、個人クリエーターは、源泉徴収制度を含む日本の税制に従うことになります。クリエーターが「映画、演劇その他芸能（音楽、舞踊、漫才等）、テレビジョン放送等の出演等の報酬・料金や芸能プロダクションを営む個人に支払う報酬・料金」または「プロ野球選手、プロサッカーの選手、プロテニスの選手、モデルや外交員などに支払う報酬・料金」のカテゴリに該当する場合、会社は源泉徴収税を差し引くことに同意します。

日本国税庁のガイドラインに従った源泉徴収税の計算方法は次のとおりです：

1,000,000円までの支払金額の場合：

• 源泉徴収税額 = 支払金額 × 10.21%

例: 10万円の支払いは、源泉徴収税額が10,210円かかり、クリエーターには89,790円の支払いが発生します。

1,000,000円を超える支払金額の場合：

• 源泉徴収税額 = （支払金額 - 1,000,000円） × 20.42% + 102,100円

例: 200万円の支払いは、源泉徴収税額が306,300円かかり、クリエーターには1,693,700円の支払いが発生します。

これらの詳細なガイドラインにより、クリエーターは収益と適用可能な控除の正確な計算について情報を提供され、透明で敬意をもって行動する関係が促進されます。

クリエーターへの支払いは、完了したビデオおよびテキスト取引から蓄積された収益に基づいて自動的に実行されます。支払いを受けるためには、クリエーターはこのような取引からの最低限度の25,000円を蓄積する必要があります。この最低限度は、会社の裁量に従い、ユーザーとクリエーターに通知なしで変更される可能性があります。

この最低限度に達した場合、Queriは支払いプロセスを開始します。会社は、このしきい値が達成された月の終了後の2か月以内に、クリエーターが指定した銀行口座に蓄積された収益を送金することを約束します。このプロセスをスムーズに進行させるために、クリエーターは正確かつ最新の銀行口座情報を提供することが重要です。

クリエーターは自分の裁量で支払いを要求することはできません。支払いは自動化され、上記で定義されたサイクルに従って処理されます。ただし、アプリを退会する意向のクリエーターには、公式のサポートチャンネルを通じて支払いを処理するために必要な詳細を提供し、支払いを要求することができます。

Queriは、クリエーターが提供した誤った銀行口座情報に起因する支払いエラーや、外部の銀行送金プロセス中に発生する問題については責任を負いません。支払いプロセスの遅延や失敗を回避するために、正確な銀行口座情報を提供することがクリエーターの責任です。

クリエーターには、支払いプロセスがスムーズに進行するために、アカウント設定で定期的に支払い情報を確認および更新することをお勧めします。将来の支払いプロセスに関する疑問点や明確化が必要な場合は、サポートチームに相談することをお勧めします。

取引とキャンセル

Introduction

Welcome to Queri, a digital platform provided by Queri Co., Ltd. (“Queri”, “Company,” “We,” “Us,” “Our”). These Terms of Service govern your use of the Queri platform ("App"), including the Queri website, mobile and web application.

These Terms of Service apply to all users of, including visitors to, our App. Use of our App is also subject to our current Acceptable Use Policy. Your use of our App as a User (“User(s)”, “You”, “Your”) or Content Creator (“Content Creator(s)”, “Creator(s)”, “You”, “Your”) is governed by these Terms of Service and the Creator Terms of Service.

By using the App as a User or Creator, you accept these Terms of Service in full.

Incorporation of Other Documents

These Terms of Service are supplemented by and incorporate the following documents, which together outline the rules, responsibilities, and expectations of using the App:

Force Majeure

Under no circumstances will Queri be liable for any delay or failure in performance due in whole or in part to any acts of God, natural disasters, unavoidable accidents, laws, rules, regulations, or orders of government authorities, or any other event or cause beyond the reasonable control of Queri.

User Obligations and Conduct

You agree not to engage in any inappropriate or harmful behavior, requests, comments, or send inappropriate, harmful, or sexual material. Infringement may lead to flagging, banning, or legal action, depending on severity.

Intellectual Property

Creators retain the intellectual property rights of the original content they create on the Queri App, respecting the creativity and ownership of the creators.

However, by uploading, posting, or otherwise sharing your content on the Queri platform, you grant Queri a non-exclusive, worldwide, royalty-free license to use, modify, reproduce, distribute, and display your content within the Queri App and its promotional channels, including but not limited to, the App’s design elements, logos, and other non-User-specific contents for operational and promotional purposes.

Downloading and utilizing such content for any purpose other than personal viewing is strictly prohibited unless expressly allowed by the intellectual property rights owner. This license persists even if you stop using our services.

Queri retains ownership rights over App-generated content, including design elements, logos, and other non-User-specific content created or used by Queri, regardless of the presence of a Creator’s intellectual property incorporated therein.

Termination

Queri Co., Ltd reserves the right to terminate or suspend your access to the App at any time without notice if you violate these Terms of Service.

Warranties & Indemnification

As a User on the Queri platform, you represent and warrant that:

1. All content you upload, post, or share on the platform is original to you or you have secured the necessary rights and permissions to use and share such content.

2. Your content and interactions on the platform do not violate any intellectual property rights, privacy rights, or any other rights of any third party.

3. Your content and activities on the platform comply with all applicable laws and regulations.

You agree to indemnify, defend, and hold harmless Queri Co., Ltd and its subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to your breach of these Terms of Service or your use of the the App other than as expressly authorized in these Terms of Service.

Dispute Resolution

Disputes will be handled by Queri or an appointed third party. Methods may include arbitration, mediation, and litigation.

In the event of any dispute arising from, or related to, these Terms of Service or your use of the App as a User, both parties agree to engage in good faith discussions to seek a resolution. If such discussions are unsuccessful, both parties agree to participate in a mutually agreed-upon mediation process in an attempt to resolve the dispute.

If mediation does not resolve the conflict, it will be referred to and finally resolved by arbitration. The arbitration process will be governed by the Arbitration Act applicable in Japan.

Any judgments, decisions, or awards resulting from any arbitration can be presented to and confirmed by any court having competent jurisdiction. Both parties agree that any arbitration proceedings will be kept confidential and the existence of the proceeding and any element of it will not be disclosed beyond the arbitration tribunal, except as may be necessary to enforce an award.

Refunds and Cancellations

All transactions are final, and in-app points will be awarded instead of cash refunds in certain scenarios. Please note that 1 Point is equal to 1 Japanese Yen. The moment a request (for a Video or Text) is confirmed (even before the Creator accepts), the transaction will go through (Apple Pay/Google Pay/Stripe). If the request (for a Video) is rejected or cancelled, the User will receive the equivalent in in-app points. There will not be a cash refund. The User can cancel the request up until it is accepted by the Creator. The Creator, Queri, or a third party (such as a manager or secretary) appointed by the Creator, can reject a request at his/her/their discretion. A Video/Text is not guaranteed a response by the Creator. The User can receive a refund for all Videos that are rejected or cancelled or void (the Creator does not fulfill the request in the allocated time). However, the User is not able to receive a refund for a Message request, even if it is rejected or void. Messages cannot be cancelled after the request is confirmed.

Liability and Warranties

The Company disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose. We shall not be liable for any indirect, consequential, or incidental damages arising out of the use or inability to use the App.

Compliance with Law

You must comply with all applicable laws regarding your use of the App. You must not use the App in any way that causes, or may cause, damage to the App or impairment of the availability or accessibility of the App.

Third-Party Interactions

The App may interact with third parties. We are not responsible for the content, privacy policies, or practices of third-party websites.

Updates and Changes to Terms

By logging in or using the App, you accept these Terms of Service or updates to them. Notification will be provided via in-app notification and email. These revised Terms of Service will be effective immediately if you accept them; otherwise, they will be effective 30 days after posting.

Mechanism for Updates to Services

Queri Co., Ltd constantly aims to innovate and improve its services. As such, we may update, modify, or discontinue services/features at our sole discretion. When substantial changes are made that might affect the User’s use of the platform or their engagement with Creators, we will notify the User through their registered email or through notifications within the App.

It's important to understand that these changes might necessitate amendments to these Terms of Service. As always, continued use of the App after these changes means you agree to any revised terms.

No Waiver or Amendment

The failure by Queri to enforce any right or provision of these Terms of Service will not prevent Queri from enforcing such right or provision in the future and will not be deemed to modify these Terms.

Assignment

Queri may, at any time, assign its rights and obligations under these Terms, including to an affiliated entity or in connection with a sale of assets, merger, acquisition, reorganization, bankruptcy, other transaction, or by operation of law.

Severability

User Conduct

You represent and warrant that:

• You will not use a false identity or provide any false or misleading information.

• You will not create an account if you (or any App account that you created or controlled) have previously been removed or banned from our App.

• You will not use or authorize the use of any Queri Content for any purposes other than the specific limited purposes set forth in these Terms of Service or any applicable Additional Terms.

• In connection with any Business Queri Content, you will not request or fulfill a request for anything that is involved in, connected with, or promotes illegal or unlawful activity, violence or hate speech; or disparages or defames any person, entity, brand, or business.

• You will not violate any law, regulation, or court order, infringe or misappropriate the intellectual property, privacy, or other legal rights of any third party.

User Behavior

You will not take any action or communicate anything that is illegal, abusive, harassing, threatening, hateful, racist, derogatory, harmful to any reputation, pornographic, indecent, profane, obscene, or otherwise objectionable (including nudity).

Unsolicited Communications and Third-Party Interactions

You will not send advertising or commercial communications, including spam, or any other unsolicited or unauthorized communications.

Cancellations

All transactions are final, and in-app points will be awarded instead of cash refunds in certain scenarios. Please note that 1 Point is equal to 1 Japanese Yen. Content Creation and Interaction

As a Creator on the App, you have the opportunity to create personalized content, engage with fans, and provide unique experiences.

You agree to create content that aligns with Queri's guidelines, respects cultural sensitivities, and adheres to all applicable laws and regulations.

Content Ownership and Rights

Creators retain the intellectual property rights of the original content they create on the Queri App, respecting the creativity and ownership of the creators.

Creator Revenue, Fees, and Payment

Creators on the App will retain 75% of the earnings generated from their engagements with fans, with the remaining 25% serving as a transaction fee for Queri. To define the fees involved:

• Creator-set Price: Creators set the price for both standard and express videos, as well as messages. This set price is visible to users in the app as the price of a video/message.

• Service Fee: A 10% VAT and other fees are added to the subtotal of a video/message transaction, visible to users at the order review stage as part of the total amount payable. This total amount can change if promos are applied.

• Transaction Fee: Queri retains 25% of the transaction amount as its share for providing the app and its services. This is deducted from the subtotal before calculating the creator's earnings.

• Platform Fee: A fee charged by payment platforms (Apple Pay or Google Pay) to Queri, calculated at 30% of the total app sales. Apple and Google offer a reduced fee of 15% on the first $1 million USD of earnings each year due to specific programs. However, we anticipate reaching this threshold swiftly, leading us to maintain a platform fee of 30%. After Apple or Google deduct this fee, the remaining amount is deposited in the company's bank account. Notably, creators' payments are calculated after this platform fee deduction.

This breakdown is calculated from the total amount of the transaction before any other deductions are applied. We believe in maintaining a transparent and respectful relationship with our creators; therefore, any potential modifications to this fee structure will always be communicated clearly, seeking the creators' agreement before any changes are enacted, however the fee structure may be modified at the discretion of the Company.

Example: If a standard video is priced at ¥10,000:

1. The service fee (10%) will add ¥1,000 to the subtotal, making it ¥11,000.

2. Assuming a promo isn't applied, this ¥11,000 is what the user pays, out of which Apple/Google will take their platform fee of 30%, leaving ¥7,700.

3. Queri's transaction fee of 25% is then applied to the ¥7,700, resulting in ¥1,925 being retained by Queri, and the remaining ¥5,775 being the creator's earnings.

It is imperative for creators to note that total payments differ depending on whether they are registered as an individual or a corporation. Corporations retain 75% of the earnings inclusive of the 10% VAT.

However, Individual creators are subjected to the Japanese tax regulations as per document No. 2792, incorporating a withholding tax at source system (源泉徴収, gensen choshu). The Company will withhold the tax at source as these creators come under categories such as “performance in movies, TV broadcasts, etc.” or “individuals engaged in entertainment production.”

Here is the withholding tax calculation as dictated by the Japanese National Tax Agency guidelines:

1) For payments up to ¥1,000,000:

• Withholding tax amount = Payment amount × 10.21%

Example: A payment of ¥100,000 will incur a withholding tax of ¥10,210, resulting in a net payment of ¥89,790 to the creator.

2) For payments exceeding ¥1,000,000:

• Withholding tax amount = (Payment amount – ¥1,000,000) × 20.42% + ¥102,100

Example: A payment of ¥2,000,000 will incur a withholding tax of ¥306,300, resulting in a net payment of ¥1,693,700 to the creator.

These detailed guidelines ensure creators are informed about the exact calculations behind their earnings and the applicable deductions, thus fostering a transparent and respectful working relationship.

Payments to creators will be executed through automatic deposits based on the earnings accumulated from completed Video and Text transactions. To be eligible for a payout, creators must accumulate a minimum threshold of ¥25,000 from such transactions. This threshold is subject to change, without notice to the User and Creator, at the discretion of the Company.

Once this threshold is reached, Queri will initiate the payment process. The Company commits to transferring the accrued earnings to the bank account designated by the Creator within two months following the end of the month in which the threshold was met. It is integral for creators to provide accurate and up-to-date bank account information to facilitate this process smoothly.

Creators cannot request a payout at their discretion. Payouts are automated and are processed as per the cycle defined above. However, exceptions are made for creators intending to leave the app; they may initiate a request for payout through Queri’s official support channels, detailing their intention and providing necessary details to process the payout.

Queri is not liable for any payment errors arising due to incorrect bank account information furnished by the Creator or issues that occur during the bank transfer process externally. It remains the Creator's responsibility to ensure the accuracy of the bank account details provided to avoid delays or failures in the payment process.

We encourage creators to regularly review and update their payment information in their account settings to ensure a seamless transaction process. It is advisable to consult the support team for any queries or clarifications regarding the payment process to avoid discrepancies in the future.

Transactions and Cancellations

Transaction processing begins the instant a request for a video or text is confirmed by a User, occurring even before the Creator has accepted the request. These transactions are securely handled through trusted payment platforms including Apple Pay, Google Pay, and Stripe.

In the event that a video request is cancelled or rejected, it is important for users to understand that refunds will be provided exclusively in the form of in-app points rather than a cash reimbursement. Please note that 1 Point is equal to 1 Japanese Yen. Users retain the ability to cancel their request up until the point that it is accepted by the Creator. Furthermore, it should be noted that while creators are encouraged to respond to all video and text requests, a response is not a guaranteed outcome for the User.

The Company, the App, the Creator, or a third party appointed by the Creator - potentially a manager or secretary - reserves the right to reject any request at their discretion. However, they are urged to maintain a respectful and considerate approach when doing so.

Users should also be aware that, unlike video requests, messages can not be canceled once the request has been confirmed and refunds are not available for message requests under any circumstances. It’s our mutual responsibility to foster a community grounded in respect and understanding, thus we encourage both users and creators to communicate thoughtfully and responsibly.

Compliance and Professionalism

You agree to abide by Queri's Community Guidelines, including creating content that is respectful, appropriate, and aligned with Queri's mission.

You will not engage in any behavior that violates intellectual property rights, spreads false information, or harms the reputation of Queri, the App or other Users and Creators.

Warranties & Indemnification

As a Creator on the Queri platform, you represent and warrant that:

• All content you upload, post, or share on the platform is original to you or you have secured the necessary rights and permissions to use and share such content.

• Your content and interactions on the platform do not violate any intellectual property rights, privacy rights, or any other rights of any third party.

• Your content and activities on the platform comply with all applicable laws and regulations.

You agree to indemnify, defend, and hold harmless Queri Co., Ltd and its subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to your breach of these Creator Terms of Service or your use of the the App other than as expressly authorized in these Creator Terms of Service.

Dispute Resolution

In the event of any dispute arising from, or related to, these Creator Terms of Service or your use of the App as a Creator, both parties agree to engage in good faith discussions to seek a resolution. If such discussions are unsuccessful, both parties agree to participate in a mutually agreed-upon mediation process in an attempt to resolve the dispute.

If mediation does not resolve the conflict, it will be referred to and finally resolved by arbitration. The arbitration process will be governed by the Arbitration Act applicable in Japan.

Any judgments, decisions, or awards resulting from any arbitration can be presented to and confirmed by any court having competent jurisdiction. Both parties agree that any arbitration proceedings will be kept confidential and the existence of the proceeding and any element of it will not be disclosed beyond the arbitration tribunal, except as may be necessary to enforce an award.

Termination and Account Suspension

Queri reserves the right to suspend or terminate your Creator account if you violate the Creator Terms of Service, Terms of Service, Privacy Policy, Acceptable Use Policy, Community Guidelines, or any applicable laws.

In the event of termination, you may lose access to your account, content, and earnings.

Privacy and Data Protection

Queri collects and processes personal information in accordance with its Privacy Policy. By using the App as a Creator, you consent to the collection, use, and processing of your personal information.

Changes to Terms

Queri may update these Creator Terms of Service from time to time. Changes will be communicated to you through your account or email. Your continued use of the App constitutes acceptance of the updated terms.

Mechanism for Updates to Services

Queri Co., Ltd constantly aims to innovate and improve its services. As such, we may update, modify, or discontinue services/features at our sole discretion. When substantial changes are made that might affect the Creator's use of the platform or their engagement with fans, we will notify the Creator through their registered email or through notifications within the App.

It's important to understand that these changes might necessitate amendments to these Creator Terms of Service. As always, continued use of the App after these changes means you agree to any revised terms.
